📋Important: These Terms constitute a legally binding agreement between you ("Customer") and Twor India Private Limited ("EPCdoc"). By accessing or using the Service, you agree to these Terms in full. If you do not agree, do not use the Service. If accepting on behalf of an organisation, you represent you have authority to bind that organisation.

1. Definitions

  • "Service" means the EPCdoc cloud platform, APIs, mobile applications, and all related services provided by Twor India Private Limited.
  • "Customer" or "you" means the entity or individual who accesses or uses the Service.
  • "Customer Data" means all data, documents, drawings, and content uploaded to or processed through the Service by the Customer.
  • "Authorised Users" means individuals whom the Customer permits to use the Service.
  • "Subscription" means the Customer's paid or trial access to the Service.

2. Service Access and Authorised Use

Subject to payment of applicable fees and compliance with these Terms, EPCdoc grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your Subscription term.

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Copy, modify, or create derivative works of the Service or its documentation
  • Sell, resell, sublicense, rent, lease, or transfer access to the Service to third parties
  • Use the Service to store or transmit infringing, defamatory, or unlawful material
  • Introduce malware, viruses, or any code designed to disrupt or damage the Service
  • Circumvent, disable, or interfere with security features of the Service
  • Use automated scripts or bots to access the Service in a manner that burdens infrastructure
  • Use the Service in violation of any applicable law or regulation

3. Customer Data and Ownership

You retain all ownership rights to Customer Data. EPCdoc does not claim any ownership of Customer Data. You grant EPCdoc a limited licence to store, process, and transmit Customer Data solely to provide the Service.

You represent and warrant that:

  • You have all rights, licences, and consents necessary to upload and process Customer Data through the Service
  • Customer Data does not infringe any third-party intellectual property rights
  • Customer Data does not contain any data that would violate applicable privacy laws
  • You are responsible for the accuracy, quality, and legality of Customer Data

4. AI Features and Generated Content

🤖Critical AI Disclaimer: EPCdoc incorporates artificial intelligence features. AI-generated content is provided for informational and productivity purposes only. EPCdoc makes no representations or warranties regarding the accuracy, completeness, or fitness for any purpose of AI-generated content.
  • AI-generated outputs (including document analysis, progress reports, risk assessments, EOT claims, and procurement recommendations) must be reviewed and verified by qualified professionals before reliance
  • EPCdoc is not liable for any decisions made based on AI-generated content
  • AI features process Customer Data through third-party AI providers subject to their respective terms and privacy policies
  • AI models may produce inaccurate, incomplete, or contextually incorrect outputs — the Customer bears sole responsibility for validating and acting on any AI output
  • EPCdoc does not warrant that AI features will meet the Customer's specific requirements or expectations

5. Fees, Payment, and Renewal

  • Subscription fees are due in advance on the first day of each billing period
  • All fees are non-refundable except as expressly stated in these Terms
  • Failure to pay fees within 15 days of the due date may result in suspension of access
  • EPCdoc may change its pricing with 30 days' prior notice to active subscribers
  • All prices are exclusive of applicable taxes (GST, VAT, withholding tax) which are the Customer's responsibility
  • Annual plans receive a 15% discount and are billed annually in advance

6. Service Availability and Uptime

EPCdoc targets 99.9% monthly uptime for the core platform. However:

  • EPCdoc does not guarantee uninterrupted or error-free operation of the Service
  • Scheduled maintenance windows will be notified in advance where reasonably practicable
  • Downtime caused by third-party services, internet connectivity, force majeure, or Customer actions is excluded from uptime calculations
  • EPCdoc's sole obligation for downtime is to restore service as promptly as reasonably practicable
  • No financial credits or refunds are automatically due for downtime unless explicitly agreed in a separate SLA

7. Intellectual Property

EPCdoc and its licensors own all intellectual property rights in the Service, including software, documentation, trademarks, and AI models. Nothing in these Terms transfers any EPCdoc intellectual property to the Customer.

Feedback, suggestions, or ideas you provide about the Service may be used by EPCdoc without obligation or compensation to you.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent. This obligation survives termination for 3 years. This clause does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

9. Data Protection

Each party agrees to comply with applicable data protection laws in connection with the Service. EPCdoc's processing of personal data on behalf of the Customer is governed by the Data Processing Agreement (DPA) available at epcdoc.com/dpa, which is incorporated into these Terms by reference.

10. Indemnification

You agree to indemnify, defend, and hold harmless Twor India Private Limited, its directors, officers, employees, agents, affiliates, successors, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service in violation of these Terms or applicable law
  • Customer Data, including any claim that Customer Data infringes third-party rights
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any dispute between you and any third party, including your customers, employees, or subcontractors
  • Reliance on or use of AI-generated content without appropriate professional verification
  • Your failure to obtain necessary consents for processing personal data through the Service

11. Disclaimers — PLEASE READ CAREFULLY

⚠️THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EPCDOC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, EPCdoc does not warrant that:

  • The Service will meet your specific requirements or expectations
  • The Service will be error-free, uninterrupted, or secure at all times
  • Results obtained from the Service will be accurate, complete, or reliable
  • AI-generated content will be accurate, up-to-date, or fit for any specific purpose
  • Any errors or defects in the Service will be corrected within any particular timeframe
  • The Service will be compatible with all devices, browsers, or third-party systems

12. Limitation of Liability — PLEASE READ CAREFULLY

⚠️TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) EPCDOC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, EVEN IF EPCDOC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) EPCDOC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (i) THE TOTAL FEES PAID BY YOU TO EPCDOC IN THE 3 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) INR 10,000 (TEN THOUSAND RUPEES).

(C) EPCDOC SHALL NOT BE LIABLE FOR ANY LOSS OR CORRUPTION OF CUSTOMER DATA, DOWNTIME, SYSTEM FAILURES, OR SECURITY BREACHES CAUSED BY THIRD PARTIES, FORCE MAJEURE EVENTS, OR CUSTOMER ACTIONS.

(D) SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY — IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

13. Force Majeure

EPCdoc shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, epidemic, war, terrorism, civil unrest, government actions, internet or telecommunications failures, power outages, cyberattacks by third parties, or supplier failures.

14. Term and Termination

  • These Terms remain in effect for the duration of your Subscription and any renewal periods
  • Either party may terminate with 30 days' written notice at the end of a billing period
  • EPCdoc may terminate immediately for material breach (including non-payment, AUP violation, or fraudulent activity)
  • Upon termination, your access to the Service ceases and Customer Data will be available for export for 90 days, after which it will be securely deleted
  • Provisions that by nature should survive termination (IP, indemnification, liability limitations, governing law) shall survive

15. Modifications to Terms

EPCdoc may modify these Terms with 30 days' notice to active subscribers. Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree to the modified Terms, you may terminate your Subscription before the effective date.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India, specifically the State of Maharashtra. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to arbitration under the Arbitration and Conciliation Act 1996 (India), with the seat of arbitration in Mumbai. The language of arbitration shall be English.

Notwithstanding the above, either party may seek injunctive or other equitable relief in thecourts of Mumbai, Maharashtra, India to prevent irreparable harm.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, DPA, and any Order Forms, constitute the entire agreement between the parties
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it later
  • Assignment: You may not assign these Terms without EPCdoc's written consent. EPCdoc may assign to an affiliate or in connection with a merger or acquisition
  • Notices: Legal notices must be sent to legal@tworai.com and are effective upon receipt
  • No Third-Party Beneficiaries: These Terms do not create rights for any third party
